1. Who THE RENOVA NET Is
THE RENOVA NET / THE RENOVA NET Construction Leads (“THE RENOVA NET,” “we,” “us,” or “our”) operates a lead-generation and contractor-network platform designed to connect property owners with independently operated remodeling and construction contractors.
THE RENOVA NET's role is limited to: generating or receiving potential remodeling and construction leads; collecting information concerning the requested Project; processing and qualifying the lead based on information provided by the Property Owner; determining whether the Project may be appropriate for one or more Contractors in THE RENOVA NET's network; matching a qualified lead with an appropriate Contractor; and making a referral or introduction between the Property Owner and Contractor.
THE RENOVA NET is not the contractor performing the Project. THE RENOVA NET does not undertake the construction work and does not participate in the Contractor's subsequent sales or construction relationship with the Property Owner.
2. Definitions
Property Owner means an individual or legal entity that owns, occupies, manages, or is otherwise authorized to request remodeling, THE RENOVA NET, repair, improvement, or related services for a property.
Contractor means an independently operated third-party construction, remodeling, THE RENOVA NET, repair, specialty-trade, or related service provider participating in or receiving referrals through the THE RENOVA NET network.
Lead means information concerning a potential Project or Property Owner collected or received by THE RENOVA NET.
Qualified Lead means a Lead that THE RENOVA NET determines, based on information supplied by the Property Owner and THE RENOVA NET's internal criteria, may be appropriate for referral to a Contractor. Qualification does not constitute a guarantee that a Project will proceed or that a Contractor will accept or perform the Project.
Referral means THE RENOVA NET's transmission of a Qualified Lead or introduction of a Property Owner to a Contractor.
Project means the remodeling, THE RENOVA NET, repair, improvement, addition, or other property-related work described by the Property Owner.
Construction Agreement means any estimate, proposal, contract, scope of work, change order, warranty, or other agreement entered into directly between the Property Owner and Contractor concerning the Project.
3. THE RENOVA NET's Lead Generation Services
THE RENOVA NET generates or receives potential Project opportunities through its website, advertising, marketing, communications, referrals, partners, and other lawful sources.
THE RENOVA NET may collect information including property location; property type; requested Project; general Project scope; photographs; desired timing; contact information; budget expectations provided by the Property Owner; and other information reasonably related to determining whether a Contractor may be appropriate.
THE RENOVA NET may contact a Property Owner to obtain additional information and clarify the requested Project.
4. Lead Qualification
THE RENOVA NET may process and qualify Leads using information provided by the Property Owner and criteria established by THE RENOVA NET.
Qualification may consider factors such as Project type; geographic location; general Project scope; property type; estimated Project characteristics; timing; Contractor availability; Contractor capabilities; and other internal network criteria.
A Qualified Lead does not mean that THE RENOVA NET has inspected the Property, evaluated the construction conditions, determined the feasibility of the Project, established the Project's cost, or guaranteed that the Project is suitable for any Contractor.
THE RENOVA NET may decline to process, qualify, or refer any Lead for any lawful reason.
5. Contractor Matching and Referral
THE RENOVA NET may match a Qualified Lead with one or more Contractors based on information available to THE RENOVA NET and the Contractor's network profile, capabilities, location, availability, or other matching criteria.
THE RENOVA NET may transmit relevant Property Owner and Project information to the Contractor for the purpose of facilitating the referral.
The Property Owner authorizes THE RENOVA NET to share information reasonably necessary to make the requested referral, subject to THE RENOVA NET's Privacy Policy and applicable law.
THE RENOVA NET does not guarantee that a Contractor will contact the Property Owner, conduct an evaluation, provide an estimate, submit a proposal, enter into a Construction Agreement, or perform the Project.
6. THE RENOVA NET's Role Ends With the Referral
THE RENOVA NET's role concerning a particular Project is limited to generating, processing, qualifying, matching, and referring the Lead.
After a Referral is made, the Contractor and Property Owner independently determine whether they wish to communicate, negotiate, contract, and proceed with the Project.
Except for administrative communications concerning the Lead or Services, THE RENOVA NET does not participate in the transaction between the Property Owner and Contractor.
THE RENOVA NET does not negotiate the Contractor's price; negotiate the Construction Agreement; sell construction services on behalf of the Contractor; approve the Contractor's estimate; approve the Project budget; determine the Contractor's scope of work; establish construction schedules; supervise construction; direct Contractor personnel; select or manage subcontractors; authorize change orders; receive construction deposits or progress payments; administer construction funds; inspect construction; control construction means or methods; guarantee construction results; or provide construction warranties.
7. THE RENOVA NET Is Not a Contractor or General Contractor
THE RENOVA NET is a lead-generation and referral business.
THE RENOVA NET does not represent that it is the general contractor, construction contractor, remodeling contractor, construction manager, superintendent, subcontractor, architect, engineer, or other construction professional for any Project.
THE RENOVA NET does not undertake, bid upon, or perform construction or remodeling work for Property Owners through the Services.
The Contractor is solely responsible for determining whether it is legally authorized and properly licensed to perform the work it undertakes.
Nothing in these Terms creates a construction relationship between THE RENOVA NET and the Property Owner.
8. Independent Contractor Relationship
Each Contractor is an independent third party. The Contractor is not an employee, agent, partner, joint venturer, franchisee, or representative of THE RENOVA NET merely because THE RENOVA NET generates or refers a Lead to the Contractor.
THE RENOVA NET does not control the Contractor's business operations; pricing; sales process; employees; subcontractors; construction methods; schedules; materials; contracts; or performance.
The Contractor independently decides whether to pursue a Lead and whether to enter into a Construction Agreement.
9. Contractor Estimates and Sales Process
After receiving a Referral, the Contractor is solely responsible for evaluating the Project and conducting its own sales process.
The Contractor—not THE RENOVA NET—is responsible for contacting the Property Owner; conducting any site visit; evaluating existing conditions; determining Project feasibility; developing the scope of work; preparing estimates; preparing proposals; determining pricing; negotiating terms; discussing financing, if offered; entering into the Construction Agreement; and performing the obligations it assumes under that agreement.
THE RENOVA NET does not participate in or control these activities.
Any estimate, price, proposal, scope, representation, or commitment made by a Contractor is made solely by that Contractor.
10. Construction Agreement
Any agreement concerning construction or remodeling work is solely between the Property Owner and Contractor.
THE RENOVA NET is not a party to the Construction Agreement unless THE RENOVA NET expressly agrees in a separate written instrument to become a party.
The Property Owner and Contractor are responsible for establishing all terms governing the Project, including scope; specifications; plans; materials; price; payment terms; deposits; allowances; change orders; schedule; permits; inspections; warranties; insurance; subcontractors; completion requirements; and dispute procedures.
THE RENOVA NET does not prepare, approve, negotiate, administer, or enforce the Construction Agreement.
11. Contractor Licensing and Credentials
THE RENOVA NET may establish credential requirements for Contractors participating in its network.
THE RENOVA NET may request or review Contractor-provided or publicly available information concerning licensing, insurance, business identity, or other credentials.
Any credential review is conducted for THE RENOVA NET's network-administration purposes and does not constitute a guarantee, certification, endorsement, or warranty concerning the Contractor.
THE RENOVA NET does not guarantee that a Contractor is suitable for a particular Project; will perform work properly; will complete the Project; will remain licensed throughout the Project; will remain insured throughout the Project; has the financial ability to complete the Project; employs qualified personnel; or will comply with every legal requirement applicable to the Project.
Property Owners should independently verify a Contractor's current license, insurance, references, qualifications, contract, and suitability before hiring the Contractor.
12. Contractor License Warning
Florida law regulates construction contracting and licensing.
PROPERTY OWNERS SHOULD VERIFY THAT THE CONTRACTOR THEY SELECT HOLDS ALL LICENSES REQUIRED FOR THE WORK TO BE PERFORMED.
THE RENOVA NET's referral of a Contractor does not replace the Property Owner's responsibility to independently evaluate and select the Contractor.
The Property Owner should consult appropriate legal or professional advisors when necessary.
13. No Endorsement or Guarantee
THE RENOVA NET's referral of a Contractor does not constitute an endorsement or guarantee of that Contractor.
THE RENOVA NET does not guarantee workmanship; construction quality; materials; price; estimates; project duration; completion; permits; code compliance; financial condition; availability; responsiveness; warranty performance; or any particular Project outcome.
The Property Owner independently selects whether to hire the Contractor.
14. No Reliance on THE RENOVA NET for Construction Decisions
THE RENOVA NET provides lead-generation and referral services and does not provide construction, legal, architectural, engineering, financial, insurance, or other professional advice concerning a Project.
Property Owners are responsible for independently evaluating the Contractor and the Contractor's proposal before entering into a Construction Agreement.
Information concerning a Contractor's network participation or credential review should not be interpreted as a guarantee of the Contractor's qualifications or performance.
15. Payments
THE RENOVA NET does not establish or administer the price of construction work.
Unless expressly agreed in a separate written agreement, THE RENOVA NET does not receive, hold, control, or disburse funds intended to pay a Contractor for construction work.
Payments for construction work are made pursuant to the Construction Agreement between the Property Owner and Contractor.
THE RENOVA NET is not responsible for construction deposits; progress payments; invoices; payment disputes; refunds; change-order charges; construction liens; subcontractor claims; or Contractor misuse of funds.
16. Permits and Construction Compliance
The Contractor is responsible for determining and complying with the licensing, permitting, inspection, building-code, safety, and other legal requirements applicable to the work it undertakes.
THE RENOVA NET does not determine whether a Project requires a permit or whether construction complies with applicable law.
The Property Owner remains responsible for approvals that are legally or contractually the Property Owner's responsibility.
17. Florida Construction Contract Disclosures
THE RENOVA NET is not a party to the Construction Agreement and does not prepare or review Construction Agreements for legal compliance.
Florida law imposes certain requirements on qualifying contracts between property owners and contractors, including statutory construction-lien notices in applicable residential construction contracts.
PROPERTY OWNERS SHOULD REVIEW ANY CONSTRUCTION CONTRACT CAREFULLY BEFORE SIGNING AND SHOULD CONSULT QUALIFIED LEGAL COUNSEL WHEN NECESSARY.
The Contractor and Property Owner are responsible for ensuring that their Construction Agreement complies with applicable law.
THE RENOVA NET's referral of a Contractor does not constitute a representation that the Construction Agreement complies with Florida law.
18. Construction Recovery Fund
Certain residential property owners may have rights under the Florida Homeowners' Construction Recovery Fund for qualifying losses caused by licensed contractors.
Eligibility, limitations, claim procedures, and other requirements are established by Florida law.
Property Owners should obtain current information from the Florida Construction Industry Licensing Board or qualified legal counsel.
THE RENOVA NET does not administer the Recovery Fund and does not guarantee eligibility or recovery.
19. Insurance-Related Projects
Property Owners should inform THE RENOVA NET and Contractors if a requested Project may involve an insurance claim or insurance proceeds.
THE RENOVA NET will comply with applicable laws governing referrals and compensation.
THE RENOVA NET does not provide insurance-claim adjustment, legal, or insurance advice.
THE RENOVA NET does not represent that a Project is covered by insurance or that insurance proceeds will be available.
Contractors are solely responsible for complying with all laws governing their conduct concerning insurance claims and insurance-funded work.
No Contractor may use the THE RENOVA NET network to engage in conduct prohibited by applicable Florida law.
20. Property Owner Responsibilities
Property Owners agree to provide accurate Project information; provide accurate contact information; disclose material information known to them concerning the Property when reasonably necessary; cooperate with Contractor communications; independently evaluate Contractors; review estimates and proposals carefully; review the Construction Agreement before signing; obtain legal or professional advice when appropriate; comply with applicable homeowner, property, HOA, or other obligations; and make their own decision regarding whether to hire a Contractor.
21. Third-Party Disputes
Any dispute concerning a Contractor or Construction Agreement—including disputes involving workmanship; construction defects; pricing; estimates; payment; delays; property damage; personal injury; permits; code compliance; warranties; change orders; liens; or completion—is a dispute between the Property Owner and Contractor.
THE RENOVA NET is not responsible for resolving disputes arising from the Construction Agreement.
THE RENOVA NET may, at its discretion, assist with communication concerning a Lead, but such assistance does not make THE RENOVA NET a party to the Construction Agreement or responsible for the underlying dispute.
22. Property Damage and Personal Injury
THE RENOVA NET does not perform or supervise construction and therefore does not assume responsibility for conditions created by a Contractor or its employees, subcontractors, suppliers, or other personnel.
Claims arising from construction activities should be directed to the Contractor responsible for the Project and, where applicable, its insurers.
Nothing in these Terms excludes liability that cannot legally be excluded.
23. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE RENOVA NET PROVIDES THE SERVICES ON AN “AS IS” AND “AS AVAILABLE” BASIS.
THE RENOVA NET DISCLAIMS WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, EXCEPT TO THE EXTENT SUCH WARRANTIES CANNOT LAWFULLY BE DISCLAIMED.
THE RENOVA NET DOES NOT WARRANT THAT every Lead will be accurate; every Lead will be qualified; every Lead will be accepted by a Contractor; a Contractor will contact a Property Owner; a Contractor will provide an estimate; a Contractor will enter into a Construction Agreement; a Project will proceed; a Project will be completed; a Contractor will perform satisfactorily; or the Services will produce a particular result.
24. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE RENOVA NET AND ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AGENTS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITY, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES ARISING OUT OF OR RELATED TO: a Contractor; a Construction Agreement; construction work; Project delays; cost overruns; workmanship; property damage; personal injury; permits; construction liens; Contractor payments; Contractor employees or subcontractors; or any dispute between a Property Owner and Contractor.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE RENOVA NET'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT ACTUALLY PAID BY THE PROPERTY OWNER TO THE RENOVA NET FOR THE SERVICES GIVING RISE TO THE CLAIM DURING THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.
25. Indemnification
To the maximum extent permitted by law, the Property Owner agrees to indemnify and hold harmless THE RENOVA NET and its owners, officers, directors, employees, affiliates, agents, and service providers from claims, damages, liabilities, losses, costs, and reasonable attorneys' fees arising from: (1) the Property Owner's violation of these Terms; (2) inaccurate or misleading information supplied by the Property Owner; (3) misuse of the Services; (4) the Property Owner's Construction Agreement or dispute with a Contractor; or (5) the Property Owner's violation of applicable law.
This provision does not require indemnification for THE RENOVA NET's own conduct to the extent prohibited by applicable law.
26. Contractor Independence
The Contractor independently controls its relationship with the Property Owner following the Referral.
THE RENOVA NET does not direct the Contractor's sales activities; set the Contractor's price; determine the Contractor's profit; control Contractor personnel; supervise Contractor work; approve Contractor contracts; authorize Contractor expenditures; or guarantee Contractor performance.
Any representations made by the Contractor concerning its services are made by the Contractor alone.
27. Communications
THE RENOVA NET may communicate with Property Owners concerning submitted Leads, referrals, Platform administration, customer service, and related Services.
By submitting contact information, you authorize THE RENOVA NET to communicate with you through available communication channels, subject to applicable law and any required consent.
Where applicable, you may opt out of marketing communications using the unsubscribe or opt-out method provided in the communication.
Consent to marketing communications is not a condition of purchasing construction services.
28. Privacy
THE RENOVA NET's collection, use, storage, and disclosure of personal information are governed by THE RENOVA NET's Privacy Policy.
By submitting a Lead, you understand that THE RENOVA NET may transmit information concerning your Project and contact information to Contractors for purposes of providing the requested referral.
THE RENOVA NET will handle personal information in accordance with its Privacy Policy and applicable law.
29. User-Submitted Content
If you provide photographs, descriptions, documents, reviews, testimonials, or other materials to THE RENOVA NET, you represent that you have the right to provide those materials.
You authorize THE RENOVA NET to use such materials as reasonably necessary to process, qualify, administer, and refer your Lead and operate the Services, subject to the Privacy Policy and applicable law.
30. Intellectual Property
The THE RENOVA NET Platform and its original content, software, designs, graphics, logos, trademarks, databases, and other materials are owned by or licensed to THE RENOVA NET unless otherwise stated.
Users may not reproduce, distribute, modify, scrape, reverse engineer, sell, or commercially exploit THE RENOVA NET's proprietary materials without authorization.
31. Prohibited Uses
You may not use the Services to submit fraudulent Leads; provide materially false information; impersonate another person; interfere with the Platform; introduce malicious software; obtain unauthorized access; harvest information without authorization; misuse Contractor or Property Owner information; engage in unlawful activity; or otherwise misuse the Services.
32. Suspension or Termination
THE RENOVA NET may suspend or terminate access to the Services if it reasonably believes that a user has violated these Terms, misused the Platform, provided fraudulent information, violated applicable law, or created a risk to THE RENOVA NET, Property Owners, Contractors, or other parties.
Termination does not affect provisions that by their nature survive termination.
33. Governing Law
These Terms shall be governed by the laws of the State of Florida, without regard to conflict-of-law principles, except where federal law controls.
34. Dispute Resolution
Before initiating formal litigation concerning THE RENOVA NET's Services, the parties should make a good-faith effort to resolve the dispute informally by providing written notice describing the dispute and allowing a reasonable opportunity for response.
Any mandatory arbitration, mediation, venue, jury-trial waiver, or class-action waiver should be established through a separately reviewed provision appropriate to the applicable consumer relationship and Florida law.
Nothing in this section prevents a party from seeking emergency equitable or injunctive relief where legally available.
35. No Third-Party Beneficiaries
These Terms do not create rights in favor of third parties.
Contractors are not parties to these Terms and are not third-party beneficiaries of the Property Owner's agreement with THE RENOVA NET.
A Contractor therefore has no right to enforce these Terms against THE RENOVA NET solely because the Contractor received a Referral through the THE RENOVA NET network.
36. Electronic Acceptance
Electronic acceptance of these Terms, including acceptance through the Platform, submission of a Lead following presentation of these Terms, or other legally sufficient electronic acceptance, constitutes agreement to these Terms.
Electronic records and communications may be used to document the parties' relationship.
37. Severability
If any provision of these Terms is found to be invalid or unenforceable, the provision shall be modified or interpreted to the minimum extent necessary to make it enforceable where legally permitted.
The remaining provisions shall remain effective.
38. No Waiver
THE RENOVA NET's failure to enforce a provision of these Terms does not constitute a waiver of its right to enforce that provision later.
39. Entire Agreement
These Terms, together with THE RENOVA NET's Privacy Policy and other documents expressly incorporated into these Terms, constitute the agreement governing use of THE RENOVA NET's Services.
A Construction Agreement between a Property Owner and Contractor is a separate agreement and is not incorporated into these Terms.
